ANNUAL GENERAL MEETINGS GUADALMINA GOLF S.A. AND REAL CLUB DE GOLF GUADALMINA

EXTRAORDINARY GENERAL MEETINGS
GUADALMINA GOLF S.A.  -  REAL CLUB DE GOLF GUADALMINA
October 10th . 2019

The date October 10th , 2019, will be part of the history of our Club, as one of the most important dates, similar in importance to July 12th 1959, when Mr. Norberto Goizueta and his family started the development of Guadalmina, or November 17th 2008, after fifty years of history HM King Juan Carlos I, granted us the distinction of REAL to the Guadalmina Golf Club.

During sixty years of history, the destiny of the Real Club de Golf Guadalmina, has been in the hands of several Companies. Starting 30 years ago by The Goizueta´s  Family, managing every aspect of the development of the land.

Thank to them Guadalmina gained the reputation of being one of the best resorts in Spain, and in the Sports side the Club held some of the most important Tournaments , Professionals and Amateurs of Spain, during that  period of time, the also developed many of the real estate properties which conforms Guadalmina.

Since 1989, after the purchase by Prima Inmobiliaria and the constitution of Guadalmina Golf SA, several companies have held a stake in the GGSA shareholders, with greater or lesser weight.

Prima Inmobiliaria was followed by Grand Tibidadabo and Fadesa, and finally Martinsa Fadesa, who, after thirty years from the foundation of Guadalmina Golf s.a.t, still held 31% of the Share Capital, this last Company after entering the Liquidation Contest in 2015, on July 19th of 2019 put 1,016 shares on sale.

The Real Club de Golf Guadalmina through its members, aware of the importance of the event, was mobilized in a way, like never did before, nationalities and origin did not matter.

We knew that it was necessary to present a large number of favorable/ positive of votes to the acquisition, to serve both purposes, to add enough number of shareholders present and represented , according to the quorum required in the statutes of Guadalmina Golf s.a. and to send a clear message to the reference shareholder, Martinsa Fadesa, who had indicated his intention to abstain, if a sufficient majority of positive votes among the other shareholders, was not achieved.

And out of a total of 1,268 shareholders with voting rights, shareholders members of the Club , 846 (among them 133 shareholders who are not currently active members of the Club ), representing 66,46%, voted affirmative, to the operation, the vast majority required by the reference shareholder, Martinsa Fadesa who added to the YES,  1,016 votes, allowing the approval of the agreements of the four essential points of the agenda, all of them approved by overwhelming majority.

1/ Purchase for € 5,080,000

2/ Financing of said amount by GGSA

3/ Amortization of 70 % of the shares and reduction of capital, with sale of 30 %

4/ Signing of a lease agreement bewteen GGSA and Real Club de Golf Guadalmina.

The necessary explanations were given, and it was reported that all the decisions taken were based on reports from independent experts, selected from several, allowing us to conclude that we were facing a unique opportunity for the Guadalmina Royal Golf Club.

Laura Gómez certifies her promotion to the Ladies European Tour

Laura Gómez ends the year in the Top 5 of the Let Access Series ranking, thus achieving the rights to the Ladies European Tour.

If there has been someone regular this year it has certainly been Laura. 18 tournaments played throughout the old continent, 16 cuts, 1 victory and 3 Top 5  Spectacular.

“I feel very excited to have the Tour card. I brought my parents in the last tournament to bring me luck and calm” tells us. The final was very tight because one of her pursuers, Chloe Williams, was fighting for the title until the end, which could have taken Gómez from the Top 5 of the Order of Merit. "The last day I felt a lot of nerves, but I was confident that everything would work out."

Laura Gómez is a rough diamond and one of the promising young star European golf, but she still has no sponsor. That is why from here we call on members and friends. Any collaboration will be welcome: golf clothes and golf equipment in general.

Our most sincere congratulations, Laura!

Ángel Hidalgo passes the 1st Stage of the European Tour Q School in Bogogno

The idyll between Golf Club Bogogno and Ángel Hidalgo continues.

As it happened last year, Angel chose the Italian Club to face the 1st Stage of the Tour Q School and things could not go better: rounds of 69 - 67 - 72 - 70 were enough to get into the Top 15 and seal the pass to PQ 2.

Hidalgo told us that “the conditions of this year varied quite a lot compared to last year, because after the rains, the course became long and heavy. My low power fade, which in normal conditions runs a lot, here was not the ideal one. The last day took me a while to start, but I played the back 9 pretty solid to get the pass”.

The next stage of the Q School is played in Spain, simultaneously and by lot, in Desert Springs, Alenda Golf, Bonmont and Las Colinas, from November 7th to 10th. Before, he will play the Alps Tour Final at Terre dei Consoli GC & Golf Nazionale (Rome), where the best 50 players of the year play.

Congratulations & good luck for the rest of the season!!

We take this opportunity to send Haiko Dana a big hug, unable to overcome the 1st Stage.

Azahara, Noemi and Laura, together again at the Lacoste Ladies French Open

Azahara Muñoz, Noemi Jiménez and Laura Gómez will be in the field in one of the most prestigious tournaments of the Ladies European Tour.

Each one with different stories and goals but with the same identity: the three players are members of the Real Club de Golf Guadalmina and, above all, friends.

Azahara comes from conquering what has probably been the most exciting Solheim Cup in history. In addition, Aza has been performing at a very high level this season, so it would not be surprising if she fight for the title this week.

Noemi is a regular of the Ladies European Tour and is currently in position 51 of the merit order so she needs, as soon as possible, a good week to keep the card for the next season or, who knows, if to look at higher levels.

Laura will enjoy an invitation from the sponsor. And if we take a look at her performances in the 2nd European Tour division, for sure she will show her best game.

Álvaro Mueller-Baumgart conquers a new level: International Under 18 Spanish Championship

Álvaro dressed in red and blue (as in the Real Club de Golf de La Coruña when he conquered the Spanish Absolute Championship) to win the title in the International Under 18 Spanish Championship and complete the dream triplet in the same year: Spanish Championship Under 18, Spanish Championship Absolute and International Under 18 Spanish Championship.

Sherry Golf witnessed another blow of "Martillo Mueller", who, despite starting with a doubtful 76, he remained patient and finished with 4 under par in the accumulated, winning with 3 strokes of advantage over Álvaro Morales.

Where is Álvaro's roof?

Congratulations!!

Samuel Love wins the Spanish Pitch & Putt Benjamin Championship

On August 22nd and 23rd, Benalmádena Golf met the future spanish stars in the Spanish Pitch and Putt Championship. After a round of 2 under and being solo leader with two strokes ahead, in the final round "Samu" made 4 under to win the tournament with 7 strokes of advantage over Juan Miró and Francisco Javier Gómez.

Awesome, "Samu", congratulations!

*Not having Spanish nationality, Samuel Love is not the Spanish Champion, but he is the winner of the Championship.

In the same competition, we also had a sensational performance by our little member Blanca Gómez-Balboa, finishing third. Bravo Blanca!

And this week we have Lucia Morales, Carlos Mendoza, Alberto Sánchez de la Fuente and Silvia Guerrero playing the Spanish Interclubes  Championship at Lauro Golf. Ángel Hidalgo plays in Belgium the KPMG Trophy  (Challenge Tour), Laura Gómez the Scandic PGA Championship, a Let Acces Series tournament, Azahara Muñoz the Portland Classic of the LPGA, and finally, Álvaro Mueller-Baumgart will participate in the Jacques Léglise Trophy, representing Europe Contintental

Good luck to all!

Incredible 2019 Golfing Week

2 days after the Golfing Week and having digested what has been lived this week, it is time to take stock.

It has been an intense and exciting week, marked by the best participation of our members in the different competitions.

The commitment acquired years ago from the Competition Committee to control the slow game, reducing, among other things, the limit of participants per tournament, took effect. Except on Tuesday, with La Guita-Belloterra Trophy, it was the only day that a game exceeded 5 hours. But let's be fair; the spectacular snack offered by La Guita & Grupo Estévez and Belloterra in hole 11th, unfortunately causes delays.

Let's talk about participation; In Ping Trophy and La Guita, 204 people played per day, while in Reale and Le Club we went to 188 and 189 respectively. The Teams Tournament, sponsored by Movistar, had 40 teams.

Additionally and as a novelty, before the prize giving presentation on Thursday, we organized a Putting Green tournament with the collaboration of My Bar, a company that offers PREMIUM cocktail and mobile bars services for events. And the experiment could not go better: happy members participating in something different. Check out the attached photos!

On Thursday we proceeded to celebrate the prize giving presentation of the mentioned tournaments and about 300 people accompanied us during the night. Perhaps the spectacular assortment of Belloterra in the raffle was largely to blame?

In addition to Belloterra products, in Ping we deliver from Drives, golf bags, to wedges, polo shirts or caps. Reale offered a lot and very valuable accessory, in addition to Cleveland golf bag and Ping hybrid. La Guita distributed 6 varieties of wines from the Estévez Group winery to each of the winners. In Le Club, the winners were classified as every year for the National Final in Hacienda del Álamo and the rest of the participants were able to enter a fantastic draw (bags, dozens of balls, Cuvical gin, Dos Maderas rum and many Greenfees, among others ).

The team formed by Cristóbal and Diego Mena, Juan Bernal and Vicente Holgado took the victory in the Team Tournament with an incredible final day. See the results HERE.

The Club Management and the Competition Committee thank you greatly for your participation, patience and commitment during these days. Thanks also, of course, to all the Caddie Master and Maintenance staff for their good work, to the restoration, and, above all, to the sponsors of each tournaments for trusting another year in Guadalmina.

You can check the photos of the prize giving presentation, in the attached document.

Until next year!

WORLD GUINESS RECORD – Belgian star Thomas Detry breaks the Guiness World Record of the Fastest Hole of Golf

On June 25th, the 10th hole of the North Course dressed up to receive the stars of the European Tour. Thomas Detry, Paul Dunne, Sean Crocker and Guido Migliozzi were trying to break the record of the fastest played hole in history, so far in the hands of a former student of the Club School, Rubén Holgado (1 min. 33 sec.) , who, in addition, was invited by the European Tour to witness the "show".

The rules of the attempt dictated that the par five had to play a minimum of 500 yards with each player required to finish the hole carrying the same number of clubs they started with. A test of fitness, stamina, golfing ability and mental strength.

After more than 2 hours, the afternoon began to fall and the alarms sounded: no one could excel Ruben and the players began to be exhausted. Until Detry launched a 322-yard bomb, put his heart and soul into the race and managed to finish the hole in 1 minute and 29 seconds. GORGEOUS!

It was a fantastic day and we are very proud to have been at the epicenter of European golf for a moment.
